These Terms of Service (“Terms”) apply to your use of neuralstimuli.com and to the services provided by Neural Stimuli Marketing (“Neural Stimuli”, “we”, “us” or “our”), a digital marketing business based in Oshawa, Ontario. By using this website or our services, you agree to these Terms. If you do not agree, please do not use them.

1. Using this website

You may use this website for lawful purposes only. You agree not to:

• interfere with the website’s operation or security
• try to gain unauthorized access to it
• use it to send spam or harmful material
• copy its content for commercial use without our permission

The information on this website is general and may change without notice.

2. Our content

The text, graphics, logos and design of this website belong to Neural Stimuli Marketing or are used with permission. You may not copy, reproduce or distribute them without our written permission. Images may be licensed from third parties.

3. Our services

We offer digital marketing services, including:

• social media content creation and scheduling
• website creation and hosting
• digital product creation and marketing

The scope, deliverables, timelines, fees and payment terms for each project are set out in a written quote, proposal or agreement that you accept before work begins (your “Agreement”). These Terms apply together with your Agreement. If they conflict, your Agreement takes priority.

4. Your responsibilities as a client

• Accurate information. You agree to give us accurate, complete information and to respond to requests for feedback or approval in a timely way. Delays in providing materials or approvals may delay delivery.
• Rights to your materials. You confirm that you own, or have permission to use, any logos, images, text, video or other materials you give us. You also confirm that using them for your marketing does not infringe anyone else’s rights.
• Account access. Where our work requires access to your accounts, such as a Facebook page or hosting account, you agree to provide it. You remain the owner of those accounts and are responsible for following each platform’s rules.
• Your business claims. You are responsible for making sure the products, services, offers and claims promoted for your business are accurate and comply with applicable laws, including advertising and consumer protection laws.

5. Fees and payment

Fees and payment terms are set out in your Agreement. Unless your Agreement says otherwise, invoices are payable on receipt, and recurring services are billed in advance. We may pause or stop work, including scheduled posting or hosting, if payment is overdue.

6. Ownership of work

Unless your Agreement says otherwise, once we have received full payment, you own the final deliverables we create specifically for you. We keep ownership of:

• our pre-existing tools, templates, methods and know-how
• third-party materials, such as stock images, fonts, themes or software, which remain subject to their own licences

We may show work we created for you in our portfolio and marketing, unless you ask us in writing not to.

7. Third-party platforms

Our services rely on third-party platforms such as Facebook, Instagram, Google, and website hosting and payment providers. We do not control these platforms. We are not responsible for their outages, policy changes, algorithm changes, account restrictions, or the removal of content by the platform.

8. No guarantee of results

Marketing results depend on many factors outside our control. We do our best work for every client, but we do not guarantee any particular result, such as a number of followers, website visitors, leads, sales or search rankings.

9. Disclaimer

This website and its content are provided “as is”. To the extent permitted by law, we make no warranties of any kind about the website, including that it will always be available or error-free.

10. Limitation of liability

To the extent permitted by law, Neural Stimuli Marketing is not liable for any indirect, incidental, special or consequential losses, such as lost profits, lost data or business interruption, arising from your use of this website or our services. Our total liability for any claim relating to our services is limited to the fees you paid us for the services in question during the 12 months before the claim arose. Nothing in these Terms limits any rights you have that cannot be limited by law.

11. Indemnity

You agree to compensate us for any claims, losses or costs, including reasonable legal fees, that arise from:

• materials you supply to us
• your products, services or business claims
• your breach of these Terms

12. Links to other websites

This website may link to websites run by others. We are not responsible for their content or privacy practices.

13. Privacy

Our Privacy Policy explains how we handle personal information.

14. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. Any dispute will be handled by the courts of Ontario.

15. Changes to these Terms

We may update these Terms from time to time. The updated version will be posted on this page with a new effective date. Changes do not affect Agreements already in place unless both parties agree.
